BYLAWS

OF THE

CARSON CITY REPUBLICAN WOMEN’S CLUB

June 2026

ARTICLE I
NAME

Section 1. Name.

The name of this organization shall be the Carson City Republican Women’s Club, hereinafter referred to as “CCRW” or “the Club.”


ARTICLE II
OBJECTIVES

Section 1. Objectives.

The objectives of the Club shall be:

A. To promote a wider knowledge of the principles and policies of the Republican Party through educational programs.

B. To increase the effectiveness of women in the cause of good government through active political participation.

C. To cooperate with the State Republican Party and the Carson City Republican Party in the election of Republican candidates to public office.

D. To support, as a member organization, the objectives and policies of the National Federation of Republican Women (“NFRW”) and the Nevada Federation of Republican Women (“NvFRW”).

E. To exemplify Republican values through active participation in civic activities.


ARTICLE III
POLICIES

Section 1. Non-Endorsement.

The Club shall follow a policy of non-endorsement in:

A. Contested Republican Primary elections;

B. General elections in which both candidates are Republicans; and

C. Presidential or Vice-Presidential contests prior to the Republican National Convention.

Section 2. Officer Neutrality.

An elected officer shall not pre-endorse a candidate in a contested Republican Primary election, a General Election in which both candidates are Republicans, or a Presidential or Vice-Presidential contest prior to the Republican National Convention.

Section 3. Party Loyalty.

Failure to support the Republican ticket, advocating a split-party ticket, or supporting one Republican candidate to the exclusion of other Republican candidates in a Primary or General Election shall result in removal of a unit club from State Federation membership.

Section 4. Opposition Party Candidates.

Any member who publicly supports a candidate of an opposition party in a campaign for which a Republican is also a candidate shall be removed from membership.

Section 5. Candidacy for Public Office.

Any elected officer or Board member who files as a candidate for public elective office shall step aside from her Club position upon filing if a Republican opponent exists. Following the election, the officer or Board member may resume her position.


ARTICLE IV
MEMBERSHIP

Section 1. Regular Membership.

Membership shall be open to any woman who is duly registered as a Republican.

Section 2. Associate Membership.

A. Republican women who are members of another federated Republican women’s club may join as Associate Members.

B. Any man duly registered as a Republican may become an Associate Member.

C. Associate Member dues shall be one-half (½) the dues of a Regular Member.

D. Associate Members may participate in discussions but shall not vote, hold office, or serve on committees.

Section 3. Federation Membership.

The Club shall maintain membership in the Nevada Federation of Republican Women and the National Federation of Republican Women.

Section 4. Reinstatement.

Upon resignation or removal of a member, a majority vote of the Executive Committee shall determine eligibility for reinstatement.

Section 5. Honorary Memberships.

Honorary Life Memberships, Honorary Associate Life Memberships, Special Honorary Memberships, and Special CCRW Booster designations may be granted in accordance with the Standing Rules of the Club.


ARTICLE V
OFFICERS

Section 1. Eligibility.

A. To hold elected office, a member must:

Be a member in good standing; and

Be a duly registered Republican in the State of Nevada.

B. The term of office shall be one (1) year, commencing January 1 and ending December 31.

C. No elected officer shall serve more than two (2) consecutive terms in the same office.

Section 2. Elected Officers.

The elected officers of the Club shall be:

A. President

B. First Vice President

C. Second Vice President

D. Recording Secretary

E. Treasurer

Section 3. Vacancies.

A. In the event of a vacancy in the office of President, the First Vice President shall assume the office of President and the Second Vice President shall assume the office of First Vice President for the remainder of the term.

B. In the event of a vacancy in the office of First Vice President, the Second Vice President shall assume that office for the remainder of the term.

C. Any other vacancy shall be filled by vote of the membership after notice has been provided through the Club newsletter or electronic communication.

Section 4. Qualifications.

A. No member shall be elected President unless she has served on the Board of Directors for at least one (1) year.

B. No member shall be elected to any other office unless she has been an active member and served on a committee for at least one (1) year.

C. No candidate shall run simultaneously for more than one elected office.

Section 5. Duties of Officers.

The duties of the elected officers shall be those prescribed in these Bylaws and such additional duties as may be assigned by the membership or Board of Directors.

(President, First Vice President, Second Vice President, Recording Secretary, and Treasurer duties should continue in this same formal format, each under separate lettered subsections.)


ARTICLE VI
APPOINTIVE OFFICERS

Section 1. Appointive Officers.

The appointive officers shall be:

A. Parliamentarian

B. Corresponding Secretary

C. Chaplain

D. Historian

Section 2. Duties.

The duties of appointive officers shall be as prescribed by these Bylaws and by direction of the President and Board of Directors.


ARTICLE VII
STATE NOMINATING COMMITTEE

Section 1. Election.

A member and two (2) alternates shall be elected biennially at the January meeting preceding the Nevada Federation Convention.

Section 2. Representation.

The elected member or designated alternate shall represent the Club at meetings of the State Nominating Committee.


ARTICLE VIII
COMMITTEES

Section 1. Standing Committees.

The standing committees shall include, but not be limited to:

Americanism
Audit
Boutique
Budget
Bylaws
Campaign
Fundraising
Hospitality
Legislative
MELP/Literacy
Newsletter
Pancake Breakfast
Publicity
Scholarship
Telephone
Webmaster

Section 2. Special Committees.

Special committees may be established by the President with approval of the Executive Committee.


ARTICLE IX
EXECUTIVE COMMITTEE AND BOARD OF DIRECTORS

Section 1. Executive Committee.

The Executive Committee shall consist of the elected officers, the Immediate Past President, and the Parliamentarian, who shall serve without vote.

Section 2. Board of Directors.

The Board of Directors shall consist of:

A. Executive Committee Members;

B. Appointive Officers;

C. Standing Committee Chairmen; and

D. Special Committee Chairmen.

Section 3. Meetings.

The Board of Directors shall meet at least monthly when regular membership meetings are conducted.


ARTICLE X
MEETINGS

Section 1. Regular Meetings.

The Club shall hold at least ten (10) meetings each calendar year.

Section 2. Meeting Date.

Regular meetings shall be held on the third Tuesday of each month unless otherwise ordered by the membership.

Section 3. Suspension of Meetings.

Months during which meetings are suspended shall be determined by majority vote of the membership.


ARTICLE XI
DUES

Section 1. Annual Dues.

Annual dues shall be established by the membership and shall be sufficient to meet Club obligations to the Nevada Federation and National Federation.

Section 2. Payment.

Dues shall be payable on January 1 of each year.

Section 3. Delinquency.

Dues shall become delinquent on February 1.

Section 4. Membership Termination.

Members whose dues remain unpaid after March 15 shall be removed from the membership rolls.

Section 5. Refunds.

Dues shall be non-refundable and shall not be prorated.


ARTICLE XII
NOMINATIONS AND ELECTIONS

Section 1. Nominating Committee.

A Nominating Committee of five (5) members shall be elected in September.

Section 2. Report.

The Committee shall present its report at the October Board of Directors and Membership meetings.

Section 3. Elections.

Election of officers shall be held at the November meeting.

Section 4. Voting.

When there is only one nominee for an office, election may be conducted by voice vote.

Section 5. Installation.

Officers shall be installed at the December meeting.


ARTICLE XIII
DELEGATES TO THE NEVADA FEDERATION BIENNIAL CONVENTION

Delegates and alternates shall be elected and credentialed in accordance with the Bylaws of the Nevada Federation of Republican Women.


ARTICLE XIV
QUORUM

Section 1. Membership Meetings.

A quorum shall consist of a majority of members present.

Section 2. Executive Committee.

A quorum shall consist of a majority of Executive Committee members.

Section 3. Board of Directors.

A quorum shall consist of a majority of Board members present.


ARTICLE XV
PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Club in all cases to which they are applicable and in which they are not inconsistent with these Bylaws or with the Bylaws of the Nevada Federation of Republican Women or the National Federation of Republican Women.


ARTICLE XVI
FINANCES

Section 1. Budget.

The fiscal year of the Club shall coincide with the calendar year.

Section 2. Audit.

An Audit Committee shall be appointed annually, and its report shall be presented at the January Membership Meeting.


ARTICLE XVII
DISSOLUTION

Upon dissolution of the Club, all remaining assets shall be distributed to the Nevada Federation of Republican Women after payment of all lawful obligations.


ARTICLE XVIII
AMENDMENTS

These Bylaws may be amended by a two-thirds (2/3) vote of members present at any regular meeting, provided written notice of the proposed amendment has been given at least ten (10) days prior to the meeting.


ARTICLE XIX
EFFECTIVE DATE

These Bylaws shall become effective upon approval by a two-thirds (2/3) vote of the voting members present.
